Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Webtrix Consulting website located at webtrix.solutions (the "Site") and the IT consulting and technology services offered by Webtrix Consulting ("Webtrix," "we," "us," or "our"). By accessing the Site or engaging Webtrix for services, you ("Client" or "you") agree to be bound by these Terms. If you do not agree, please refrain from using the Site or our services.
1 Services
Webtrix provides managed IT, cybersecurity, cloud solutions, network/Wi-Fi infrastructure, and web design services to businesses in the North Carolina foothills and surrounding areas. The specific scope, deliverables, timeline, and fees for any engagement will be documented in a separate Statement of Work (SOW) or Service Agreement signed by both parties.
Webtrix reserves the right to refuse, modify, or discontinue any service offering at any time. Submission of a contact form or inquiry does not constitute a binding contract for services until a written agreement is fully executed.
2 Use of the Website
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others. You shall not:
- Use the Site to transmit any unlawful, harassing, defamatory, or otherwise objectionable content
- Attempt to gain unauthorized access to any portion of the Site or its underlying systems
- Engage in any activity that could damage, disable, overburden, or impair the Site
- Use any automated tool (bot, scraper, crawler) to collect information from the Site without our express written permission
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Use the Site to violate any applicable local, state, national, or international law or regulation
3 Intellectual Property
All content on the Site — including but not limited to text, graphics, logos, icons, images, audio clips, and software — is the property of Webtrix Consulting or its content suppliers and is protected by applicable United States and international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Site for your personal, non-commercial informational purposes. This license does not include the right to:
- Reproduce, distribute, or publicly display any Site content
- Modify or create derivative works from any Site content
- Use any Site content for commercial purposes without our prior written consent
4 Payment Terms
Payment terms for Webtrix services will be specified in the applicable Statement of Work or Service Agreement. Unless otherwise agreed in writing:
- Invoices are due within 30 days of the invoice date
- Late payments may be subject to a late fee of 1.5% per month on outstanding balances
- Webtrix reserves the right to suspend services for accounts with overdue balances
- Deposits or upfront payments may be required for new projects and are non-refundable unless otherwise specified
5 Confidentiality
Both parties acknowledge that in the course of a service engagement, they may be exposed to confidential information belonging to the other party, including but not limited to business plans, network configurations, credentials, and proprietary processes. Each party agrees to keep such information strictly confidential and not to disclose it to any third party without the prior written consent of the disclosing party, except as required by law. This obligation survives termination of any service agreement.
6 Disclaimers
THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Webtrix does not warrant that (a) the Site will be uninterrupted or error-free, (b) defects will be corrected, (c) the Site or the server that makes it available are free of viruses or other harmful components, or (d) the results of using the Site will meet your requirements.
7 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WEBTRIX CONSULTING, ITS OWNERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:
- Your access to or use of (or inability to access or use) the Site or services
- Any unauthorized access to or use of our servers or any personal information stored therein
- Any interruption or cessation of transmission to or from the Site
- Any content obtained from the Site
In no event shall Webtrix's total aggregate liability to you exceed the total fees paid by you to Webtrix in the twelve (12) months preceding the claim.
8 Indemnification
You agree to defend, indemnify, and hold harmless Webtrix Consulting and its owners, officers, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of or access to the Site or services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that your use of the services caused damage to a third party.
9 Termination
Either party may terminate a service engagement as specified in the applicable Statement of Work or Service Agreement. Webtrix reserves the right to terminate or suspend access to the Site, without notice or liability, for any reason, including if you breach these Terms. Upon termination of services, provisions that by their nature should survive (including confidentiality, payment obligations, intellectual property, disclaimers, limitation of liability, and indemnification) shall remain in effect.
10 Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or Webtrix's services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the parties agree to submit to the exclusive jurisdiction of the state and federal courts located in Caldwell County, North Carolina. You waive any objection to venue in such courts.
11 Changes to These Terms
Webtrix reserves the right to modify these Terms at any time. When changes are made, we will update the "Last Updated" date at the top of this page. Your continued use of the Site after any modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
12 Severability & Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect.
These Terms, together with any applicable Statement of Work or Service Agreement, constitute the entire agreement between you and Webtrix with respect to your use of the Site and our services, and supersede all prior agreements and understandings.
